Shoofly Olympic Sports Gym Membership Agreement

This Gym Membership Agreement (Agreement") is between Shoofly Olympic Sports, LLC ("Gym", "we", or "us") and the undersigned member ("Member," "you," or "your").

By signing this agreement, you agree to the terms below:

1. Membership Purpose & Community Expectations

Our Gym exists to provide a supportive, inclusive environment focused on fitness, safety, and personal growth. We welcome beginners and experienced competitors alike.

All members are expected to treat others with respect and to follow Gym rules so everyone can train safely.

2. Membership Access & Included Services

2.1 Included with Unlimited Membership

Unless otherwise stated in writing, your monthly membership includes:

• Group training, including Barbell Club, boxing and other scheduled class be added in the future

• Use of Gym equipment and training areas

• Participation in Gym-hosted community events (some events may have separate fees where indicated)

2.2 Not Included with Unlimited or other Memberships

• One-on-one personal training or other private coaching

• Semi-private or small-group training outside normal classes

• Specialty clinics, workshops or ticketed events

• Membership or access to Original Strength Institute

• Merchandise, food, or beverages

2.3 Other Memberships

• If your membership is only for a specific program, such as Barbell Club or Boxing, participation in other classes or programs is not included.

3. Membership Term, Billing & Payments

3.1 Billing

Membership fees are billed monthly using the payment method you provide. Your payment details are not stored by Gym but are processed and stored by a secure

payment provider. You authorize recurring charges until you cancel in accordance with this Agreement.

3.2 Late or Failed Payments

If your payment fails, your access may be suspended until payment is made or alternate arrangements are made in writing with Gym. Repeated failed payments may result in cancellation of membership.

3.3 Fee Changes

We may change membership pricing with at least sixty (60) days' notice via email or other written communication. Continued use of the Gym after the notice period constitutes acceptance of the new rate.

4. Cancellation

You may cancel your membership by providing written notice via email to street@shooflyathletics.com at least 30 days before your next billing date.

5. Health, Safety & Medical Acknowledgment

You confirm that:

• You are physically able to participate in fitness activities

• You understand the risks of exercise, including acute or overuse injury or death

• You will inform coaches of any injuries, conditions or limitations

• You are responsible for deciding whether to participate in any activity

You should consult a physician before beginning any exercise program.

6. Assumption of Risk Overview

You understand that Gym activities involve inherent risks, including but not limited to:

• Weightlifting and use of heavy equipment

• Boxing and contact training

You voluntarily assume all such risks. A separate Liability Waiver applies and is incorporated into this Agreement by reference.

7. Minors and Youth Programs

• Members under 18 must have a parent or legal guardian sign all required waivers and consent forms

• Parents/guardians are responsible for supervision unless the program states otherwise

8. Guest Policy

• Guests must sign a Guest Liability Waiver before participating

• The Gym may limit the number of guest visits

• Members are responsible for their guests' conduct

9. Rules of Conduct

You agree to:

• Follow all posted Gym rules and coach instructions

• Use equipment properly and return it after use

• Clean equipment after use

• Treat staff and other members respectfully

• Refrain from harassment, discrimination or unsafe behavior

• Not use drugs, alcohol or illegal substances on the premises

The Gym may suspend or terminate membership, without notice, for rule violation

10. Photography & Media

You grant the Gym permission to use photos or videos taken in the facility for marketing purposes, including posting on social media or the Gym website, unless you notify via email at street@shooflyathletics.com. Media involving minors requires separate parental consent.

11. Suspension or Termination by Gym

We may suspend or terminate membership for:

• Safety concerns

• Rule violations

• Harassment or misconduct

• Non-payment

• Providing false information material to membership

No refunds are required for termination due to misconduct.

12. Limitation of Liability

To the fullest extent allowed by law, the Gym is not liable for:

• Personal injury or death

• Loss, theft or damage to personal property

• Damages arising from participation in activities

• The conduct of other members

This section does not replace the separate Liability Waiver.

13. Governing Law & Disputes

This agreement is governed by North Carolina Law. Any dispute shall be brought in a court located in Wake County, North Carolina unless otherwise required by law.

14. Entire Agreement & Updates

This Agreement, together with the Liability Waiver and posted Gym rules, represents the entire agreement between you and the Gym. We may update rules or policies with reasonable notice.

15. Acknowledgment

By signing below, you acknowledge that:

• You have read and understand this Agreement and all agreements incorporated by reference

• You agree to follow Gym rules and policies

• You have signed (or will sign) a separate Liability Waiver

I agree that typing my name and the current date below serves as my legal electronic signature and indicates my full acceptance of the terms outlined in this agreement.
